Care to Beauty Affiliate Program - Terms & Conditions

1. Introduction

These Terms and Conditions ("Terms") govern participation in the Care to Beauty Affiliate Program (the "Program"), operated by Care to Beauty, Lda. ("Care to Beauty", "we", "us", or "our"), a company incorporated under Portuguese law.

By submitting an application to the Program or by using your affiliate account, you agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not apply for or use the Program.

We reserve the right to update these Terms at any time. We will notify active affiliates of material changes with a minimum of 30 days' notice before changes take effect. Continued use of your affiliate account after that period constitutes acceptance of the updated Terms.

2. Definitions

"Affiliate" - An individual or entity approved by Care to Beauty to participate in the Program.

"Affiliate Link" - A unique tracked URL generated by the Platform and assigned to each Affiliate, used to attribute sales.

"Attribution Window" - The 30-day period following a qualifying click during which a resulting purchase may be attributed to the Affiliate.

"Available Balance" - Commission that has cleared the Hold Period and is eligible for redemption.

"Commission" - The monetary value earned by an Affiliate on a qualifying sale, calculated as a percentage of the net order value.

"Hold Period" - The period of 15 days following an order during which commission remains in Pending status to cover the returns window.

"In-Store Credit" - A unique discount code redeemable on the Care to Beauty website, issued as an alternative to a cash payout.

"Pending Balance" - Commission that has been earned but has not yet cleared the Hold Period.

"Platform" - The affiliate management system within the Care to Beauty client area, including the affiliate dashboard and back-office tools.

"Program" - The Care to Beauty Affiliate Program as described in these Terms.

"Qualifying Sale" - A purchase made through an Affiliate Link within the Attribution Window that has not been returned, cancelled, or flagged as ineligible.

"Sweep Date" - The date on which unredeemed Available Balances are automatically converted to In-Store Credit.

3. Eligibility and Application

3.1 Eligibility requirements

To apply for the Program, you must:

Be at least 18 years of age at the time of application.

Hold at least one active, publicly accessible social media account or website on which you create and publish content.

Apply in your own name or as an authorized representative of a registered legal entity.

3.2 Application process

Applications are submitted via the online form available on the Care to Beauty website. Approval is at the sole discretion of Care to Beauty and is not guaranteed. We may accept or decline any application without being required to provide a reason.

On approval, you will receive a confirmation email and your affiliate account will be activated. A unique Affiliate Link will be automatically generated and available on your dashboard.

Applications from accounts with a very limited online presence may not be accepted, according to Care to Beauty's guidelines.

3.3 Account accuracy

You must provide accurate, current, and complete information during the application process and keep your account details up to date throughout your participation in the Program. You are responsible for maintaining the confidentiality of your account's credentials.

4. Commission Structure

4.1 Base commission rate

Affiliates earn a base commission of the net order value on each Qualifying Sale. Net order value is calculated after the deduction of any discounts applied at checkout. Shipping costs are excluded from the calculation.

4.2 Campaign rates

From time to time, Care to Beauty may run campaigns that temporarily increase the commission rate on selected products, brands, or product categories. Campaign rates and durations are set at Care to Beauty's sole discretion and are communicated to eligible Affiliates in advance.

Campaign rates apply for the duration of the campaign only and automatically revert to the base commission rate when the campaign ends. No manual action is required by the Affiliate. The active rate applicable to each link is always visible in the Affiliate's dashboard.

4.3 Custom rates

Care to Beauty reserves the right to negotiate individual commission rates with specific Affiliates. Where a custom rate applies, it will be reflected in the Affiliate's account settings and takes precedence over the published base rate.

4.4 Commission calculation

Commissions are calculated at the time of each Qualifying Sale based on the rate active at the moment of the sale. If the applicable rate changes after a sale is made but before the commission is validated, the rate at the time of sale applies.

If a customer uses a discount code alongside an Affiliate Link, the commission is calculated on the post-discount order value.

5. Attribution and Tracking

5.1 Attribution model

The Program uses last-click attribution with a 30-day lookback window. At the moment an order is placed, the system records the customer's traffic and attribution data from the session and checks for qualifying affiliate link clicks within the previous 30 days. The most recent qualifying click is attributed the commission for that sale. Clicks followed by a paid media interaction before the purchase do not qualify.

5.2 Attribution window

When a customer places an order, Care to Beauty's system looks back 30 days from the order date. If the customer clicked an Affiliate Link within that period, and the click qualifies under the rules below, the sale is attributed to the most recent qualifying Affiliate Link click.

Your Affiliate Link itself does not expire and remains active indefinitely. The 30-day window applies to each individual purchase — it runs backwards from the order date, not forwards from the click date.

5.3 Tracking mechanism

Attribution is tracked through first-party server-side data captured at the time of each click and recorded into the order at the moment of purchase.

Tracking accuracy may be affected by customers refusing cookie consent, using private browsing modes, or switching devices between the click and the purchase. Care to Beauty does not guarantee 100% tracking accuracy and is not liable for commission loss resulting from tracking limitations outside its control.

5.4 Attribution rules and de-duplication policy

For a click to be attributed commission, all of the following conditions must be met:

The click occurred within the 30-day lookback window.

No recognised paid acquisition channel was interacted with after that click and before the purchase. Recognised paid acquisition channels include: paid search — brand and generic (PPC), display advertising and retargeting. If a paid acquisition interaction occurred after the affiliate click, that click is not attributed.

The Affiliate account is active and in good standing at the time of the purchase.

The purchase was not made by the Affiliate themselves.

If no affiliate click within the 30-day window meets all of the above conditions, no affiliate commission is generated for that order.

6. Commission Validation and Hold Period

6.1 Hold Period

All commissions enter Pending status immediately following a Qualifying Sale. Commission remains Pending for 15 days — the Hold Period — to cover the Care to Beauty returns window. During this period, the commission is not available for redemption.

6.2 Validation

At the end of the Hold Period, pending commissions are validated and move to Available status, provided the associated order has not been returned, cancelled, or otherwise made ineligible. Available commission is eligible for redemption.

6.3 Commission cancellation

A commission may be cancelled and will not become Available under any of the following circumstances:

The associated order is returned in full or in part — commission is cancelled on the returned items only.

The associated order is cancelled before fulfilment.

The order is identified as potentially B2B in nature.

The sale involves a duplicate order, payment authorization failure, or failed credit check.

The sale is determined to be fraudulent or in breach of these Terms.

The Affiliate and the purchasing customer share an IP address or account — such orders are flagged for manual review.

Care to Beauty reserves the right to reverse a validated commission in cases where a return, cancellation, or policy breach is identified after validation has occurred.
7. Commission Redemption

7.1 Redemption options

Affiliates may redeem their Available Balance as:

In-Store Credit: a unique discount code redeemable on the Care to Beauty website, or

Cash via Bank Transfer: available from a minimum balance threshold.

Bank transfer may be available in selected countries. Eligibility for bank transfer is determined by Care to Beauty and communicated to the Affiliate individually.

7.2 Minimum redemption amounts

The minimum balance required to request a cash payout via bank transfer is defined by Care to Beauty and may be updated from time to time. The current threshold is always visible in the Affiliate's dashboard. In-Store Credit redemption is available at any balance above zero.

7.3 In-Store Credit redemption

To redeem Available Balance as In-Store Credit, the Affiliate initiates the redemption from their dashboard. A unique discount code is generated automatically and becomes immediately available for use at checkout.

In-Store Credit codes generated from voluntary redemptions are valid for 12 months from the date of generation. The expiry date is displayed to the Affiliate at the point of redemption. Unused credits expire at the end of this period without replacement.

In-Store Credit codes cannot be combined with other codes at checkout.

7.4 Bank transfer redemption

To request a Bank transfer payment, the Affiliate submits a redemption request from their dashboard and provides a valid fiscal document (invoice, recibo verde, or equivalent as required by their country's jurisdiction and by Care to Beauty's team), together with proof of their bank account details to confirm the destination of the payment.

Bank transfer payments are processed on the 20th of each month. To be included in a given month's payment run, the Affiliate must submit their request along with all required documentation by the 18th of that month, or 2 working days before the 20th where the 18th falls on a weekend or public holiday. Requests submitted after this deadline will be carried over to the following month's payment run. All payments are made in euros. Any currency conversion costs or transfer fees on the recipient's side are the Affiliate's responsibility.

Care to Beauty reserves the right to request additional documentation to verify the Affiliate's identity and tax status before processing a bank transfer payment.

8. Inactivity Conversion and In-Store Credit Conversion

8.1 Inactivity Conversion

If an Affiliate has not redeemed any part of their available balance — whether as a bank transfer or as In-Store Credit — for a continuous period of two years, Care to Beauty reserves the right to convert the full available balance to In-Store Credit. This conversion is permanent — balance that has been converted is no longer eligible for bank transfer redemption.

8.2 Notification

Care to Beauty will send the Affiliate an email notification at least 30 days before any inactivity conversion is due to occur, advising of the balance that will be converted and the option to request a bank transfer payment before the conversion takes place. A bank transfer request must be submitted no later than 7 days before the conversion date to be processed before conversion.

8.3 Swept In-Store Credit

In-Store Credit generated from a commission conversion is valid for 12 months from the date it is issued. If an Affiliate has not redeemed any part of their available balance — whether as a bank transfer or as In-Store Credit — for a period of two years, Care to Beauty reserves the right to convert the full available balance to In-Store Credit. The Affiliate will be notified in advance of this conversion. The resulting In-Store Credit is valid for 12 months from the date of conversion. If unused within that period, it expires and the balance is forfeited.

8.4 Pending Balance at sweep

Balance that remains in Pending status on the Sweep Date is not swept. It will move to Available once the Hold Period expires and will be included in the following year's sweep if not redeemed.

9. Prohibited Activities

Affiliates must not engage in any of the following activities. Violation may result in immediate suspension or termination of the affiliate account and forfeiture of any pending commission.

9.1 Fraudulent activity

Self-referring: placing orders through your own Affiliate Link, directly or through associates.

Generating artificial clicks or traffic through automated means, bots, or browser extensions.

Creating fake accounts or orchestrating purchases that are subsequently returned.

9.2 Paid search and advertising

Using paid search campaigns (PPC) or pay-per-click advertising to promote your Affiliate Link, including bidding on Care to Beauty brand keywords or related terms.

Creating or using browser extensions that interact with Care to Beauty's website or the tracking infrastructure.

9.3 Discount code misuse

Sharing Care to Beauty affiliate or promotional codes on external coupon websites, deal aggregators, or similar platforms.

9.4 Misrepresentation

Making false or misleading claims about Care to Beauty, its products, or any ongoing promotions.

Using Care to Beauty's brand name, trademarks, or logos in a manner not expressly authorized.

9.5 Data and platform misuse

Harvesting, scraping, or systematically extracting data from the Care to Beauty website or Platform.

Using any information obtained through the Program to benefit a competing affiliate or commercial program.

10. Disclosure Requirements

Participation in the Program constitutes a material commercial relationship. You are solely responsible for complying with all applicable laws, regulations, and guidelines regarding the disclosure of affiliate and paid relationships in each territory where you publish content.

Without limitation, whenever you share your Affiliate Link or otherwise promote Care to Beauty in connection with your participation in the Program, you must:

Clearly and conspicuously disclose the commercial nature of the relationship with your audience.

Use disclosures appropriate to the platform and content format — for example, #ad, #affiliate, or equivalent labels at the beginning of a caption or in an audible disclosure for video content.

Ensure disclosures are visible and understandable to your audience without requiring them to take any action to see them.

Applicable frameworks include, without limitation, the EU Unfair Commercial Practices Directive, the Portuguese Consumer Protection Law, the UK ASA guidance, and the US FTC Endorsement Guides, depending on where your audience is located.

Failure to comply with disclosure requirements may result in regulatory action against you as the content publisher. Care to Beauty is not liable for your disclosure obligations.
11. Account Suspension and Termination

11.1 Termination by Care to Beauty

Care to Beauty reserves the right to suspend or terminate any affiliate account at any time, with or without prior notice, in cases including but not limited to:

Fraud, attempted fraud, or breach of these Terms.

Abusive, offensive, or harmful behavior toward Care to Beauty staff, customers, or other affiliates.

Prolonged inactivity — accounts that show no link activity for an extended period may be marked inactive and suspended.

Any activity that Care to Beauty determines to be harmful to the Program, the brand, or its customers.

11.2 Termination by the Affiliate

Affiliates may close their account at any time by contacting Care to Beauty. The Affiliate's Affiliate Link will be deactivated upon closure.

11.3 Settlement on termination

Upon termination of the affiliate account for any reason:

Any Available Balance will be paid out to the Affiliate's preferred payment method within 10 working days of termination, subject to the minimum balance thresholds in Section 7.2. If the Affiliate also holds a Pending Balance at the time of termination, payment will be consolidated into a single transaction and processed within 10 working days of the last Pending Balance becoming Available.

Any balance below the minimum threshold for cash payout will be issued as In-Store Credit.

In-Store Credit already issued remains valid in accordance with its applicable validity period.

Care to Beauty reserves the right to withhold settlement of commissions in cases where fraud or a material breach of these Terms is under investigation.
12. Intellectual Property

Care to Beauty retains all rights in its brand, trademarks, logos, product names, and all content made available to Affiliates through the Program. Affiliates are granted a limited, non-exclusive, non-transferable license to use Care to Beauty's brand assets solely for the purpose of promoting their participation in the Program, in accordance with any brand guidelines provided by Care to Beauty.

Affiliates may not use Care to Beauty's intellectual property in any way that could damage the brand's reputation, cause confusion with other brands, or imply an endorsement or partnership beyond what is described in these Terms.

13. Data Protection

Care to Beauty processes personal data provided by Affiliates in accordance with its Privacy Policy and applicable data protection law, including the General Data Protection Regulation (GDPR) and Portuguese data protection legislation.

By applying for and participating in the Program, you consent to Care to Beauty processing your personal data for the purposes of operating and administering the Program, including the processing of commission payments and the sending of Program-related communications.

Care to Beauty will not share your personal data with third parties except as necessary to operate the Program (for example, to process bank transfer payments) or as required by law.

14. Limitation of Liability

Care to Beauty's liability to any Affiliate arising out of or in connection with the Program shall not exceed the total commission earned by that Affiliate in the 12 months preceding the event giving rise to the claim.

Care to Beauty is not liable for any indirect, incidental, consequential, or punitive loss or damage, including loss of earnings, loss of data, or loss of business opportunity, arising from participation in or exclusion from the Program.

Care to Beauty makes no guarantee regarding the volume of sales that may be generated through the Program, the level of commission that may be earned, or the continued availability of specific commission rates.

15. Changes to the Program and These Terms

Care to Beauty may change commission rates, program rules, payment methods, minimum thresholds, or any other aspect of the Program at any time. Where changes are material and detrimental to active Affiliates, we will provide a minimum of 30 days' written notice before the change takes effect.

Non-material changes — such as editorial corrections, clarifications, or additions that do not reduce Affiliate entitlements — may be made without notice.

Care to Beauty may suspend or discontinue the Program at any time, with reasonable notice to active Affiliates. All commissions that have been validated prior to discontinuation will be honored.

16. Governing Law and Disputes

These Terms are governed by the laws of Portugal. Any dispute arising out of or in connection with these Terms or the Program shall be subject to the exclusive jurisdiction of the Portuguese courts.

Before initiating formal proceedings, both parties agree to make reasonable efforts to resolve any dispute directly and in good faith. Affiliates may contact Care to Beauty's affiliate team at social@caretobeauty.com to raise a dispute.

17. General Provisions

17.1 Entire agreement

These Terms, together with any individual commission agreements in effect for a specific Affiliate, constitute the entire agreement between Care to Beauty and the Affiliate with respect to the Program.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17.3 No waiver

Care to Beauty's failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of its right to enforce that provision on any future occasion.

17.4 Assignment

Affiliates may not assign, transfer, or sub-license their rights or obligations under the Program to any third party without Care to Beauty's prior written consent.

17.5 Language

These Terms are drafted in English. In the event of any conflict between an English version and any translation, the English version shall prevail.
